Terms of Service

DueKept (operated by Smart People Corp, “DueKept”, “we”, “us”) provides a private document-preparation and submission service. We prepare and submit filings — such as the California Statement of Information — to the California Secretary of State based solely on the information you provide to us.

No legal advice. DueKept is not a law firm. Nothing on this site, in our communications, or in the service we provide constitutes legal advice, and using our service does not create an attorney-client relationship. For legal questions specific to your business, consult a licensed California attorney.

Authorization to file on your behalf. By purchasing our service, you authorize DueKept to prepare and submit the applicable Statement of Information (or related filing) to the California Secretary of State using the information you supply, and you confirm that you are authorized to provide that information on behalf of the entity named.

Accuracy of information. You are responsible for the accuracy and completeness of the entity name, entity number, addresses, officer/manager/agent details, and any other information you submit. DueKept files based on what you provide and does not independently verify it.

Refund policy. If we fail to file your Statement of Information, or the state rejects the filing and we are unable to correct it, you are entitled to a full refund of the amount you paid to DueKept. The state's own filing fees and any penalties assessed by the state or the Franchise Tax Board are not refundable by DueKept, as we do not collect or retain them beyond passing them through to the state.

Limitation of liability. To the maximum extent permitted by law, DueKept’s total liability for any claim arising from the service is limited to the amount you paid us for that order. DueKept is not liable for penalties, suspension, or other consequences arising from information you provided that was inaccurate, incomplete, or submitted to us after an applicable deadline.

Third-party processors. Payment is handled by Stripe; intake forms are handled by Tally. Your use of those services is subject to their own terms.

Governing law. These terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
